Welcome to UserTalk ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, products, and services (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, you may not use the Services.


1. Business Information

UserTalk is operated by UserTalk Ltd., a company based in London, England. Our Services are available online only via https://www.usertalk.app.


2. Eligibility

The Services are intended for businesses only. By using the Services, you represent and warrant that:

  • You are authorized to act on behalf of your business.
  • Your business complies with applicable laws.
  • You are at least 18 years old or the age of majority in your jurisdiction.

3. Services Provided

We provide a subscription-based SaaS product that enables businesses to:

  1. Publish studies on a branded website generated by our platform.
  2. Allow users to book meetings and conduct interviews.
  3. Use an AI voice agent or conduct interviews in person.

4. Subscriptions and Fees

Our pricing is usage-based with monthly "packages" for discounted bulk usage. Payment is accepted via credit card or bank transfer. All fees are in GBP and may be subject to applicable taxes.

Refunds and Cancellations

We comply with minimum refund and cancellation policies as required by EU law and other applicable jurisdictions. Refunds may be issued for unused portions of pre-paid bundles upon written request within 14 days of purchase.


5. User Responsibilities

You agree not to:

  • Use the Services to post unlawful, defamatory, abusive, or infringing content.
  • Violate intellectual property rights or applicable laws.
  • Interfere with the security, functionality, or integrity of the Services.

We reserve the right to terminate accounts engaging in prohibited activities or abuse.


6. Acceptable Use Policy

Users of the Services must adhere to the following acceptable use standards:

  • Do not engage in spamming, phishing, or other unsolicited communications.
  • Do not attempt to reverse engineer or tamper with the Services.
  • Do not misuse the AI voice agent or any part of the Services for unlawful purposes.

Respect the rights and privacy of other users.


7. Account Security

You are responsible for maintaining the confidentiality of your account credentials and ensuring that all activities under your account comply with these Terms. Notify us immediately of any unauthorized use or security breaches. We are not liable for losses arising from unauthorized use of your account.


8. Content Ownership and Licensing

Content posted on studies by you or your business remains your property. However, by using the Services, you grant us a worldwide, royalty-free, and non-exclusive license to publish and distribute this content as required to deliver the Services.


9. Data Collection and Privacy

We collect and process limited personal data, including names, emails, and availability through Google Calendar integrations. All data is handled in compliance with GDPR and other applicable data protection laws. Please refer to our Privacy Policy for details.


10. Intellectual Property

Our branding, platform, and content are protected under copyright laws. Users may not reproduce, modify, or redistribute any part of the Services without prior written consent. Integration with third-party platforms, such as Google Calendar, remains subject to the terms of those services.


11. Disclaimers and Limitation of Liability

The Services are provided "as is" without warranties of any kind. To the fullest extent permitted by law, we disclaim liability for:

  • Errors or interruptions in the Services.
  • Loss of data or business revenue.

Our liability to you for any claim arising from these Terms will not exceed the fees paid to us in the 12 months preceding the claim.

You agree to indemnify and hold UserTalk, its affiliates, and employees harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.


14. Dispute Resolution

Disputes arising from these Terms will be resolved through good faith negotiations. If negotiations fail, disputes will be resolved through binding arbitration in London, England, under the rules of the London Court of International Arbitration (LCIA), applying English law. If arbitration is not feasible, disputes may be brought before the courts of England and Wales.


15. Modifications to Terms or Services

We reserve the right to modify our Services, prices, or these Terms. Changes will be effective upon notice via our website or email to active customers. Continued use of the Services constitutes acceptance of the updated Terms.


16. Termination

We may terminate your account for:

  • Violations of these Terms.
  • Non-payment of fees.
  • Activities that harm the integrity of our platform or other users.

17. Entire Agreement

These Terms constitute the entire agreement between you and UserTalk regarding the Services. If any provision is deemed unenforceable, the remaining provisions will remain in effect.
